What would I expect to pay for a submission?

 

Cost of the filing would depend on the total number of pages and work details in your complete submission.  However, we can work with clients and structure a work plan in order to keep costs affordable. Our rates are extremely competitive and well below industry pricing.

 

What kind of turn-around time can I expect?


Time.
  Turn-around time of course depends on the size of the document.  We turn-around a typical 50 page Form 10-Q in 1 to 1 ½  hours.

 

What if I only have PDF documents, do you charge extra?

 

To convert a PDF document into a word text before EDGAR conversion has an additional fee of $20.00 per page.


Will I receive a copy of the final submission?

 

Yes. All drafts are sent for your review in two different formats; 1) a PDF format which will show proper formatting and all documents in the submission; and 2) a RTF copy for your convenience and is used only for the purpose of any redline changes you may have.  This helps to alleviate any errors or omissions as well as a quicker turn-around time.  Once the submission has been filed, you will receive a final copy for your records.

 

Why engage Edgar Agents to file on behalf of a company instead of using the SEC software?

Are the procedures different if the client is an agency such as an accounting firm or law office?

I have misplaced my CCC code, can you help me?

 

Absolutely!  If you have misplaced your CCC code we can submit an “update passphrase” to acquire new codes.


How will I know if a submission has been accepted by the SEC?

 

Immediately after your filing has been submitted and accepted by the SEC, we will forward you an Acceptance Notification for your records.

 

How soon after the submission will the documents be up on the SEC website?

 

Within a couple of minutes after the submission you will be able to log on to www.sec.gov  to view the documents.

 

What is the difference between ASCII and HTML?  Is there a price difference?

 

The difference is in the formatting.  ASCII is the old EDGAR formatting of plain text, courier 10 font. HTML is a new type of EDGAR formatting where the documents look almost exactly like the original document with added graphics, color and formatting. There is no price difference, the rates are the same.

 

What are the hours of operation that documents can be submitted to the SEC?

 

Rule 12 of Regulation S-T provides that electronic filings may be submitted by direct transmission each business day from 8:00 a.m. to 10:00 p.m. Eastern time. Currently, however, filings may be submitted electronically as early as 6 a.m.   Rule 13(a) of Regulation S-T provides that any direct transmission filing that commences after 5:30 p.m. will be dated the following business day. The exceptions to this rule are Forms 3, 4 and 5, receive the same day's filing date if transmitted by 10:00 p.m. Any direct transmission filing commencing before 5:30 p.m., if accepted, will receive that day's filing date.
