As of April 12, 2017, SEC adopted technical amendments to conform several rules and forms to amendments made to the Securities Act of 1933 (“Securities Act”) and the Securities Exchange Act of 1934 (“Exchange Act”) by Title I of the Jumpstart Our Business Startups (“JOBS”) Act. To effectuate inflation adjustments required under Title I and Title III of the JOBS Act, also adopting new rules that include an inflation-adjusted threshold in the definition of the term “emerging growth company” as well as amendments to adjust the dollar amounts in Regulation Crowdfunding.
Securities Act Rule 405 and Exchange Act Rule 12b-2 are being amended to include new definitions of “emerging growth companies” that index the statutory annual gross revenue amount to the Consumer Price Index for all Urban Consumers (CPI-U). Two new check boxes are needed for the following form types: 10-K, 10-Q, 8-K, 10, 20-F, 40-F, S-1, S-3, S-4, S-8, S-11, F-1, F-3 and F-4.
