ARS submission
A requirement to file a 14a-3 annual report with the SEC as a PDF under ARS submission form type when the company files their definitive proxy statement.
XBRL Update — Pay versus Performance
please note that beginning on December 16, 2022, the SEC is requiring registrants to report the new Pay versus Performance disclosures within their proxy statements. These new disclosures include:
- A standardized table identifying relationships between executive compensation “actually paid” and financial performance of the company along with related footnotes;
- Narrative and/or graphical disclosure describing the relationship between “actual pay” and certain performance measures reported in the table for the five most recent completed fiscal years; and
- A tabular list of three to seven of the most important financial performance measures linking executive compensation and performance
